1. The terms and conditions of sale are as set forth herein. Terms and conditions proposed by the Buyer are not applicable unless accepted by UTS Carrier L.L.C. (hereinafter called the "Seller") in writing.
2. Unless stated otherwise, prices are stated in UAE Dirham, are valid only for 30 days from date hereof, and do not include taxes or duties of any kind. Every order shall be subject to credit approval at any time before delivery thereof. Payment shall be due net 30 days from date of invoice unless otherwise agreed in writing by the Seller. For every Order valued above  AED 300,000, mode of payment to Seller is by Letter of Credit unless otherwise agreed in writing by the Seller.
3. All the deliveries are Ex-warehouse unless agreed to be FOB factory. The ownership and risk in the product is transferred to customer once it is loaded on transport vehicle for delivery.
4. Seller's Standard Warranty Policy is applicable and available on request. SELLER SHALL NOT HAVE ANY LIABILITY FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. Unless specifically agreed in writing, Seller shall not be liable for corrosion, or the physical or chemical effects of liquids, gases, or other materials used with the goods.
5. If the Seller, on Buyer’s request, shall agree to cancel any order or part thereof, the Buyer shall reimburse the Seller for costs and expenses which arise as a result of the cancellation. In the event of cancellation Buyer shall pay in full for any goods completed under the order. Seller reserves the right to offset its cancellation costs against any payments received on the order.
6. This quotation covers the price of equipment only, and does not include accessories, cost of labor, installation, start-up or service unless specified. Work and material in addition to, or different from, that stated herein, and changes in drawings or specifications, shall be subject to Seller's approval and shall entitle Seller to an adjustment in the price and schedule.
7. Unless specifically agreed in writing, shipment dates quoted are estimates. The Seller does not guarantee a particular date for shipment or delivery of the goods. Seller shall not be liable for any losses, damages, or penalties occasioned by late performance, nor for any deviations in performance due to fires, strikes, labor disputes, supplier delays, governmental actions, acts of nature, or any other condition beyond Seller's control. Partial shipments are authorized.
8. Equipment is shipped in Carrier/Manufacturer standard packing.
9. Goods once sold will not be taken back. The Seller may, on its sole absolute discretion, agree to accept back the goods provided that goods are returned back in their original packing condition and without any damages.
10. This proposal is valid for a period of 30 (thirty) days from the date of the Quotation.
11. Any agreement arising from this quotation shall be governed by, and construed in accordance with, the laws of United Arab Emirates (excluding its choice of law provisions). The provisions of the Sale of Goods (United Nations Convention) Act (Cap 283A) shall not be applicable.
